By the decision of the Board of JSC National Management Holding Baiterek (decision of the Sole Shareholder of JSC KazAgroFinance) on June 9, 2021, Aidar Gilimovich Prashev was elected Chairman of the Board of JSC KazAgroFinance and a member of the Board of Directors of JSC KazAgroFinance.

According to the notice issued on March 26, 2021, the powers of K. T. Izbastin, a member of the Board of Directors of KazAgroFinance JSC, were terminated. The Board of Directors also early terminated K. T. Izbastin's powers as Chairman of the Management Board of KazAgroFinance JSC.

Voting results on item 6 of the agenda:

K. T. Izbastin);

AGAINST (dissenting opinion) - no votes;

ABSTAINED (dissenting opinion) - no votes;

THE RESOLUTION WAS ADOPTED UNANIMOUSLY: 4 (four) votes.

Pursuant to paragraph 52 of the National Action Plan for the Implementation of the Head of State's Address to the People of Kazakhstan dated September 1, 2020, "Kazakhstan in the New Reality: Time for Action," KazAgro Holding JSC was merged with Baiterek National Managing Holding JSC. Thus, KazAgroFinance JSC has been a subsidiary of Baiterek Holding since March 16, 2021.

According to the submitted notice, the powers of E.K. Taszhurekov, a member of the Board of Directors of KazAgroFinance JSC, were terminated early as of March 16, 2021.

By the decision of the Sole Shareholder of KazAgroFinance JSC - the Management Board of KazAgro Holding JSC dated March 12, 2021, No. 11, the annual financial statements of KazAgroFinance JSC for 2020 were approved.

1) Payment of coupon interest on bonds of the third issue under the first bond program of KazAgroFinance JSC ISIN KZ2C00002749 (official list of KASE, category "debt securities of quasi-public sector entities", KAFIb3) within the thirteenth coupon period in the amount of 678,090,000 tenge.
