2. To determine the legal address of "Asset Management Company" LLP: Republic of Kazakhstan, Astana city, Almaty district, st. Kenesary, 51, vp-4.
3. To establish the authorized capital of Asset Management Company LLP in the amount of 3,000,000,000 (three billion) tenge.
4. To define the main activity of Asset Management Company LLP as the management of distressed assets (rehabilitation of problem projects).
5. To approve the Charter of Asset Management Company LLP by a separate resolution of the Board of Directors, after completing the activities related to obtaining the consent of the antimonopoly authority for the establishment of Asset Management Company LLP.
6. To authorize Baurzhan Kairgeldievich Bishenov, Managing Director and Member of the Management Board of KazAgroFinance JSC, to carry out measures related to obtaining the consent of the antimonopoly authority for the establishment of Asset Management Company LLP, and to carry out the necessary actions related to the state registration of the legal entity.
7. This decision of the Board of Directors shall come into effect upon receipt of the consent of the antimonopoly authority for the establishment of Asset Management Company LLP, with the exception of the decision regarding the authorization of Baurzhan Kairgeldievich Bishenov to carry out measures related to obtaining the consent of the antimonopoly authority for the establishment of Asset Management Company LLP, which shall come into effect on the date of signing this decision.
8. The Management Board of KazAgroFinance JSC shall take measures arising from this decision.

1) On April 21, 2015, by the resolution of the National Bank of the Republic of Kazakhstan (the resolution was signed by the Deputy Chairman of the National Bank of the Republic of Kazakhstan, K.B. Kozhakhmetov) on the imposition of administrative penalties in cases of administrative offenses in accordance with Articles 58, 263, 821-823 of the Code of the Republic of Kazakhstan "On Administrative Offenses" (hereinafter - the Code of Administrative Offenses of the Republic of Kazakhstan), KazAgroFinance JSC on administrative offense reports dated April 1, 2015. No. 150000803000836 - No. 150000803000839 (4 protocols) were brought to administrative responsibility under Article 263 of the Code of Administrative Offenses of the Republic of Kazakhstan (failure to comply with the obligation to disclose information in the established manner and under the established conditions) and a penalty was imposed in the form of a fine in the amount of 100 (one hundred) monthly calculation indices (hereinafter - MCI) for each protocol on an administrative offense, which is 198,200 tenge.
The total amount of the fine, by addition, was determined in the amount of 400 (four hundred) MCI, which is 792,800 tenge.

2) On May 14, 2015, by the resolution of the National Bank of the Republic of Kazakhstan (the resolution was signed by Deputy Chairman of the NBRK K.B. Kozhakhmetov) on the imposition of administrative penalties in cases of administrative offenses in accordance with Articles 58, 213, 821-823 of the Code of the Republic of Kazakhstan "On Administrative Offenses" (hereinafter - the Code of Administrative Offenses of the Republic of Kazakhstan), KazAgroFinance JSC, based on administrative offense reports dated April 29, 2015. No. 150000803001080 - No. 150000803001083 was brought to administrative responsibility under Part 2 of Article 213 of the Code of Administrative Offenses of the Republic of Kazakhstan (submission of false reports) and a penalty was imposed in the form of a fine in the amount of 200 (two hundred) monthly calculation indices (hereinafter - MCI) for each administrative offense report, which is 396,400 tenge.
The total fine was determined by addition in the amount of 800 (eight hundred) MCI, which is 1,585,600 tenge.

3) On May 14, 2015, by the resolution of the National Bank of the Republic of Kazakhstan (the resolution was signed by Deputy Chairman of the NBRK K.B. Kozhakhmetov) on the imposition of administrative penalties in cases of administrative offenses in accordance with Articles 58, 208, 821-823 of the Code of the Republic of Kazakhstan "On Administrative Offenses" (hereinafter - the Code of Administrative Offenses of the Republic of Kazakhstan), KazAgroFinance JSC, based on administrative offense reports dated April 29, 2015. No. 150000803001084 - No. 150000803001088 was brought to administrative responsibility under Part 3 of Article 208 of the Code of Administrative Offenses of the Republic of Kazakhstan (failure to timely provide the Organization to the credit bureau with information received from the subject of the credit history, the submission of which is required in accordance with the legislation of the Republic of Kazakhstan on credit bureaus and the formation of credit histories) and a penalty was imposed in the form of a fine in the amount of 200 (two hundred) monthly calculation indices (hereinafter - MCI) for each administrative offense protocol, which is 396,400 tenge.  
The total amount of the fine is determined by addition in the amount of 1,000 (one thousand) MCI, which is 1,982,000 tenge. 

4) On May 14, 2015, by the resolution of the National Bank of the Republic of Kazakhstan (the resolution was signed by Deputy Chairman of the NBRK K.B. Kozhakhmetov) on the imposition of administrative penalties in cases of administrative offenses in accordance with Articles 58, 213, 821-823 of the Code of the Republic of Kazakhstan "On Administrative Offenses" (hereinafter - the Code of Administrative Offenses of the Republic of Kazakhstan), KazAgroFinance JSC, based on administrative offense reports dated April 29, 2015. No. 150000803001089 - No. 150000803001091 were brought to administrative responsibility under Part 10 of Article 213 of the Code of Administrative Offenses of the Republic of Kazakhstan (failure by the Organization to fulfill its obligations to indicate the remuneration rate in a reliable, annual, effective, and comparable calculation in contracts concluded with clients) and a penalty was imposed in the form of a fine in the amount of 50 (fifty) monthly calculation indices (hereinafter - MCI) for each administrative offense protocol, which is 99,100 tenge.
The total fine was determined by addition to be 150 (one hundred fifty) MCI, which is 297,300 tenge.

5) On May 14, 2015, by the resolution of the National Bank of the Republic of Kazakhstan (the resolution was signed by the Deputy Chairman of the National Bank of the Republic of Kazakhstan, K.B. Kozhakhmetov) on the imposition of administrative penalties in cases of administrative offenses in accordance with Articles 58, 213, 821-823 of the Code of the Republic of Kazakhstan "On Administrative Offenses" (hereinafter referred to as the Code of Administrative Offenses of the Republic of Kazakhstan), JSC "KazAgroFinance" on administrative offense reports dated 04/29/15. No. 150000803001092 - No. 150000803001095 were held administratively liable under Part 2 of Article 213 of the Code of Administrative Offenses of the Republic of Kazakhstan (providing false information) and were fined 200 (two hundred) monthly calculation indices (MCIs) for each administrative offense, totaling 396,400 tenge.
The total fine was determined by adding up 800 (eight hundred) MCIs, totaling 1,585,600 tenge.
